Midn ("we", "us", "our") provides a night-exclusive social platform that enables users to capture real-time night moments via camera, upload night-life photos from albums, and match with AI bots for instant, private nighttime social interactions (the "Service"). By accessing or using the Service, you ("User", "you") agree to be bound by this User Agreement and all applicable laws and regulations.
2.1 You must be at least 13 years of age to create an account and use the Service. For users under 18, parental or guardian consent is required.
2.2 You are responsible for maintaining the confidentiality of your account credentials (e.g., username, password) and for all activities that occur under your account.
2.3 You agree to provide accurate, current, and complete information during account registration and to update such information to keep it accurate, current, and complete.
2.4 We reserve the right to suspend or terminate your account if we suspect any unauthorized use, fraudulent activity, or violation of this Agreement.
You agree not to engage in any of the following activities when using the Service:
4.1 You retain all ownership rights to the content you upload, post, or share on Midn (e.g., photos, messages). By sharing content on the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, display, store, and transmit such content to provide and improve the Service.
4.2 You are solely responsible for any content you submit to the Service and for any consequences of posting or sharing such content, including any liability resulting from infringement of third-party rights (e.g., copyright, privacy, publicity).
4.3 We reserve the right to remove any content that violates this Agreement or applicable laws, without prior notice and at our sole discretion.
5.1 Some features of the Service may be available for a fee ("Paid Features"). All payments are non-refundable unless required by law.
5.2 We reserve the right to modify pricing for Paid Features at any time, with prior notice to users. Continued use of Paid Features after pricing changes constitutes acceptance of the new pricing.
5.3 Payment processing is handled by third-party payment providers; you agree to comply with their terms of service. We are not liable for any issues arising from payment processing.
6.1 We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice, for any reason (e.g., technical upgrades, legal requirements).
6.2 We may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach any provision of this Agreement.
6.3 Upon termination of your account or the Service, your right to use the Service ceases immediately. Provisions of this Agreement that by their nature should survive termination (e.g., intellectual property, liability limitations) shall remain in effect.
7.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or in connection with your use of the Service.
7.3 We do not guarantee that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We shall not be liable for any issues caused by your device, internet connection, or third-party services.
8.1 Any dispute arising out of or relating to this Agreement or the Service shall first be resolved through good-faith negotiation between you and Midn.
8.2 If negotiation fails, the dispute shall be submitted to the courts of the jurisdiction where Midn is located, in accordance with the laws of that jurisdiction.
8.3 You agree to indemnify and hold harmless Midn, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of this Agreement.
9.1 We may update this Agreement from time to time to reflect changes in the Service or legal requirements. We will notify you of material changes by posting the updated Agreement on the Service or via other reasonable means (e.g., email).
9.2 Your continued use of the Service after the effective date of the updated Agreement constitutes your acceptance of the changes. If you do not agree to the updated Agreement, you must stop using the Service.
